The Office Guild (www.officeguild.com) is an interactive worksite for Office Furniture and Facility Management professionals. Our purpose is to connect buyers and sellers in a supportive online environment.

Membership is comprised of office furniture resellers who reflect the industry’s highest values and principles. By applying for membership, you agree to adhere to the terms and conditions described herein. We encourage you to thoroughly explore the site prior to completing your sign-up. Membership

Participants whose primary enterprise involves the purchase and resale of office furniture. Typical industry members include office furniture dealers (new and used), re-manufacturers, brokers, wholesalers, manufacturers, office buyers and sole proprietors.

Transactions

The Office Guild is a communication system designed to match buyer and seller needs. All inventories posted on the site are owned or controlled by Office Guild members. Transactions are conducted directly between seller and buyer.

Fees

There are two types of paid membership. Please review the features of each membership plan.

Product Control / Ownership

In order to maintain standards of integrity and performance, the Office Guild requires sellers to possess legal authority to post and sell each submitted listing.

Restrictions

Information you submit to the Office Guild (a) shall not be false, inaccurate or misleading; (b) shall not be fraudulent or involve the sale of stolen assets; (c) shall not violate any law, statute, ordinance or regulation; (d) shall not infringe on any copyright, patent, trademark, trade secret or rights of public privacy; (e) shall not contain any computer program or routines that may damage or detrimentally interfere with the services of our ISPs or other support services.

Fraud

Without limiting any other remedies, we may suspend or revoke the membership of any individual or business suspected of engaging in fraudulent activity in connection with the Office Guild.

Breach

Without limiting other remedies, we may issue a warning, temporarily suspend or revoke your membership (a) if you breach this agreement or the documents it incorporates by reference; (b) if we are unable to verify or authenticate any information you provide us; (c) if we believe that your actions may cause legal liability for you, our members or the Office Guild.

Indemnity

You agree to indemnify and hold the Office Guild, its employees, officers, directors, affiliates and agents harmless from any claim or demand made by any third party due to or arising from your breach of this Agreement or the documents it incorporates by reference.

Legal Compliance

You shall comply with all applicable domestic and international laws, ordinances and regulations regarding the use of this site and its services.

No Agency

You and the Office Guild are independent contractors. No employee - employer, joint venture, partnership or franchiser - franchisee relationship is being created by this Agreement. We may amend this agreement from time to time by posting the amended terms on our site.
